According to this error code, Windows Installer isn't detected. However, Windows Installer is installed and running on my system. When the install file opens, the installer stops at "Prepairing Install" and then errors out saying the .net framework was unable to install. All system requierments are met. I am running winxp pro.

Can you try uninstalling MSI 3.1 and then redownloading MSI 3.1 from windows update
MSI 3.1 was "rereleased" a couple of months ago and I'm wondering if you got the first one.

Windows installer is version 3.1 and the service is running. Still now luck.

Could you install at least any software that uses msiexec
I suggest you post your installation log file at Product Feedback.
I can't really figure out if its your msiexec or .net framework that has the problem...

I've tried previous versions of the redistributal with no luck.

c:\windows\system32\msiexec.exe /regserver did not work either.

Hmmm it's seems as though nothing with a .msi extension is able to install. Always freezes at "Prepairing to install".

Have you installed previous builds of .net framework 2 maybe Beta 1 Try instaling an express beta, see if it would install correctly...

Can you give this a try:

"c:\windows\system32\msiexec.exe /regserver"

after running that command, try rebooting and then try installing again.

I've moved your post in Visual Studio Setup to have a better chance of being answered.
To your problem, What is the version of your Win installer try upgrading it to 3.1 via windows update. Also check the services if the Windows Installer service is running...
