yes, its a legal copy.
this is a windows xp updgrade cd...so it would have to know that i have an earlier version of windows, right
and i have already tried the full format...same thing happens

Then if you don't have a copy of Windows ( not this resource CD you found ), the copy is not legal for you to use. Update CDs are sold cheaper on the basis that you own a previous OS.
