yes, its a legal copy.

this is a windows xp updgrade cd...so it would have to know that i have an earlier version of windows, right

and i have already tried the full format...same thing happens

    this is a windows xp update cd...so it would have to know that i have a version of windows, right

    Then if you don't have a copy of Windows ( not this resource CD you found ), the copy is not legal for you to use.  Update CDs are sold cheaper on the basis that you own a previous OS.

    The Windows 95 Companion disc is not Windows 95, but I guess it sounds like it accepted it.  What does your hard drive look like after If your hard drive is OK, I can't imagine why the install would have trouble copying files to it.

    So, try putting in the W98 disc.  Or did you not own W98

    It's the same thing, the upgrade requires you to own a CD of a previous OS.
